Equity Gap Co-Investment
When an experienced acquisition entrepreneur identifies and secures a business for acquisition, typically post Letter of Intent, there is often a funding gap between the debt financing available and the total equity required to close the transaction. This is the equity gap.

Archimax focuses on reviewing and assessing these opportunities. We evaluate the business, the acquirer, the transaction structure, and the strategic rationale before determining whether to co-invest. Every investment is structured as a standalone SPV, ensuring clean governance and full transparency.
THE ASSET CLASS
Entrepreneurship Through Acquisition
Entrepreneurship Through Acquisition, or ETA, is a proven strategy in which experienced operators acquire established, profitable businesses rather than building from scratch. In the ETA model, acquisition entrepreneurs (often called "searchers") identify target businesses, negotiate terms, and then seek equity co-investment to complete the transaction.

Archimax specialises in reviewing these opportunities and co-investing in the equity gap. We work with searchers across several models, including traditional search funds, self-funded searchers, independent sponsors, and HoldCo or roll-up builders.

How We Work

Opportunity Identification
We receive deal submissions from searchers and acquisition entrepreneurs through direct outreach, referrals, and our online submission process. We focus on proven operators targeting established businesses with strong cash flows.

Structured Assessment
Every opportunity is reviewed through our proprietary B.E.S.T. F.I.T. framework, covering the business fundamentals, operator credentials, deal structure, and strategic fit. We conduct detailed due diligence before any investment proceeds.

Co-Investment
Where a transaction meets Archimax's investment criteria, Archimax may co-invest on its own behalf. Separately, eligible transactions may be considered alongside members of our private co-investor community, on a deal-by-deal basis and at each member's independent discretion.

Ongoing Monitoring
Post-acquisition, we provide structured reporting and governance oversight throughout the investment lifecycle, ensuring alignment between operators and co-investors.
